Tax Services Disclaimer Our tax preparation and advisory services are provided for informational and compliance purposes only and do not constitute legal advice. Technology Services Disclaimer Technology and cybersecurity services are provided based on the information available at the time of service. We make no guarantee that any security measure will prevent all cyber incidents. You are responsible for maintaining current backups of your data.

Scheduling Appointments may be scheduled through our website using the Calendly scheduling tool. By using Calendly, you also agree to Calendly's Terms of Service available at calendly.com/terms.

Fees for our services are as agreed upon in individual service agreements, proposals, or statements of work presented to you prior to the commencement of services.

• All fees are quoted and payable in United States Dollars.
• Payment terms are as specified in your individual service agreement. Unless otherwise stated, invoices are due within 30 days of the invoice date.
• Late payments may be subject to interest at the maximum rate permitted by California law (currently 10% per annum on commercial transactions under California Civil Code Section 3289).
• We reserve the right to suspend or terminate services for non-payment after providing written notice and a reasonable cure period.
• Refund policies, if applicable, are set forth in your individual service agreement. Tax preparation fees are generally non-refundable once your return has been prepared and reviewed with you.

In the course of providing tax and business consulting services, we will have access to confidential information about you or your business. We agree to hold all such information in strict confidence and to use it solely for the purpose of providing the agreed-upon services.

Your financial records, tax information, and business data are treated with the highest level of confidentiality, consistent with our professional obligations and applicable law.

You acknowledge that certain disclosures may be required by law (e.g., IRS summons, court order, or mandatory reporting obligations). We will notify you of any such required disclosure to the extent permitted by law.

TO THE MAXIMUM EXTENT PERMITTED BY CALIFORNIA AND FEDERAL LAW, OUR WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE FULLEST EXTENT PERMITTED BY CALIFORNIA LAW, IN NO EVENT SHALL VARNESITY TECH INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES — INCLUDING LOST PROFITS, LOSS OF DATA, LOSS OF BUSINESS, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OUR WEBSITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID US FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Nothing in these Terms excludes or limits our liability for fraud, gross negligence, willful misconduct, or any other liability that cannot be excluded or limited under California law.

You agree to indemnify, defend, and hold harmless Vanersity Tech Inc and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of our website or services.
• Your violation of these Terms.
• Your violation of any applicable law or the rights of any third party.
• Any false or misleading information you provided to us.
• Your negligence or willful misconduct.

Our website may contain links to third-party websites and integrations with third-party services, including but not limited to:

• Google Maps — used to display our office location.
• Calendly — used for appointment scheduling.
• Social Media Platforms — LinkedIn, X (formerly Twitter), Facebook, Instagram, YouTube, and Yelp.
• AI Chat Assistant (future) — we may integrate a third-party AI assistant to support visitor inquiries.

We are not responsible for the content, privacy practices, or terms of service of any third-party websites or services. Links to third-party sites do not constitute an endorsement. Your interactions with third-party services are governed by their respective terms and privacy policies.

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

You agree that any dispute arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the state and federal courts located in Contra Costa County, California, and you hereby consent to the personal jurisdiction of such courts.

These Terms do not affect any statutory rights you may have as a California consumer that cannot be waived by contract.

Informal Resolution Before initiating any formal legal proceeding, you agree to first contact us at info@vanersity.com and provide a written description of the dispute. We will attempt to resolve the dispute informally within 30 days.

California Small Claims Court Either party may bring an individual claim in California Small Claims Court for disputes within that court's jurisdictional limits without first engaging in informal resolution.

Waiver of Class Actions TO THE EXTENT PERMITTED BY CALIFORNIA LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this waiver is found to be unenforceable, then the entirety of this Section 13 shall be null and void.

Nothing in this section prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction to prevent or stop irreparable harm.

We reserve the right to terminate or suspend your access to our website and services, at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, third parties, or the public, or for any other reason.

If we terminate your access for a material breach of these Terms, any outstanding fees for services already rendered remain due and payable. Provisions of these Terms that by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity provisions, and limitations of liability.

Entire Agreement These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Vanersity Tech Inc regarding use of our website and services and supersede all prior agreements and understandings.

Severability If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

Waiver Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

No Agency Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchise relationship between you and Vanersity Tech Inc.

Force Majeure We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, government action, natural disasters, or disruptions to internet or telecommunications infrastructure.

Notices Any notices or other communications required or permitted under these Terms shall be in writing and delivered to the addresses set out in Section 16.
